While POEM focuses on the location where key management decisions are made, CMC refers to the place where the company's overall control and management are exercised. CMC typically takes into account factors such as the location of the board of directors and where the central administration of the company is conducted. The distinction between POEM and CMC is particularly relevant where a company's POEM and CMC are in different jurisdictions. This can lead to complex tax situations, as the company may be considered a tax resident in one jurisdiction based on its POEM and in another jurisdiction based on its CMC.
